Terms of Service

These Terms of Service govern your use of the services provided by Cleer Software. By creating an account or using the service, you agree to these terms.
The Service
Cleer provides software for digital delivery notes, shipment communication, delivery feedback and related operational tools.
Features and limits depend on the plan selected by the customer. Cleer may add, remove or improve features over time.
Accounts
You are responsible for providing accurate account information and for keeping your login credentials secure.
You are responsible for activity performed through your account and should notify Cleer if you believe your account has been accessed without permission.
Free Plan
Cleer may offer a free plan with a limited number of shipments or other usage limits. The free plan does not require payment details.
Free plan limits may be changed in the future with reasonable notice.
Paid Plans and Billing
Paid plans are billed monthly. When you purchase a plan, you receive the features and usage limits associated with that plan for the applicable billing period.
Paid subscriptions renew automatically at the beginning of each new billing period unless cancelled.
If you downgrade or change your plan during an active billing period, the change does not create an automatic refund. Unless otherwise stated, your existing plan limits remain available until the end of the current billing period, after which the new plan takes effect.
Payments may be processed through Stripe. Certain services, including custom development work, may instead be invoiced directly by Cleer.
Custom Development
Cleer may provide custom development, integrations, analytics or other professional services separately from the software subscription.
Unless otherwise agreed in writing, custom development is billed based on the agreed hourly rate or project price. Work requested by the customer may require a separate agreement or written quotation.
Your Data
You retain responsibility for the data you submit to the service, including shipment information, recipient information, images and other customer data.
You must have the necessary rights and legal basis to provide this information to Cleer and to use it through the service.
Cleer will process customer data as necessary to provide the service and in accordance with its Privacy Policy and any applicable data processing agreement.
Acceptable Use
You may not use the service for unlawful purposes, to violate the rights of others, to distribute malicious software, to attempt unauthorised access, or to interfere with the operation or security of the service.
We may restrict or suspend access where reasonably necessary to protect the service, its users or third parties.
Service Availability
We aim to keep the service reliable and available, but we do not guarantee uninterrupted or error-free operation.
The service may occasionally be unavailable because of maintenance, updates, technical problems, infrastructure failures or circumstances outside our reasonable control.
Data and Backups
While we take reasonable measures to protect stored data, you should maintain appropriate copies of important business information where necessary.
Cleer is not responsible for loss of data caused by circumstances outside our reasonable control, subject to applicable law.
Account Cancellation
You may stop using the service at any time. Paid subscriptions remain active until the end of the applicable billing period unless otherwise agreed.
When an account is cancelled or becomes eligible for deletion, Cleer currently intends to remove associated account and service data through a cleanup process after approximately 30 days, subject to information that must legally be retained.
Suspension or Termination
Cleer may suspend or terminate an account if these Terms are materially breached, the service is abused, payment obligations are not met, or suspension is reasonably necessary for security or legal reasons.
Intellectual Property
The Cleer software, branding, design, code and related materials remain the property of Cleer Software or its licensors.
Using the service does not transfer ownership of the software to you. You retain ownership of the data you submit to the service.
Limitation of Liability
To the extent permitted by applicable law, Cleer will not be liable for indirect, incidental or consequential losses arising from the use of the service, including loss of profits, business interruption or loss of opportunity.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under Belgian law.
Changes to the Service
We may change, improve or discontinue parts of the service over time. Where a significant change materially affects a paid service, we will take reasonable steps to communicate it.
Changes to These Terms
These Terms may be updated from time to time. The latest version will always be available on this page.
Where changes are material, we will take reasonable steps to notify affected users. Continued use of the service after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.
Governing Law
These Terms are governed by Belgian law.
Any disputes will be subject to the competent courts of Belgium, subject to any mandatory rights or jurisdiction provided by applicable law.
